Agreement

By accessing or using the Vermoss website, web dashboard, or mobile application (together, the "Platform"), you agree to be bound by this End User License Agreement (EULA) and Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

These Terms apply to business users who subscribe to Vermoss to automate WhatsApp messaging, manage conversations, and run customer flows.

1. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you confirm that you meet this requirement and that you have authority to bind the business you represent.

2. User, generated content (UGC) policy

The Platform allows users to upload profile pictures, configure message templates, send messages, and share content with their customers via WhatsApp.

• Vermoss maintains a zero, tolerance policy toward objectionable content and abusive users.
• Users may not post, upload, or transmit content that is sexually explicit, defamatory, violent, hateful, illegal, harassing, or otherwise prohibited under Meta's WhatsApp Business policies.
• Vermoss may remove content, suspend accounts, or terminate access at its sole discretion to maintain platform safety.

3. Reporting, moderation & safety

• Users can report content or abusive behaviour via in, app reporting features where available.
• Vermoss may use automated tools and manual review to detect and remove prohibited content.
• Users interact with their own customers at their own risk. Vermoss does not conduct background checks or verify the identity, qualifications, or conduct of end customers.

4. Platform role, subscriptions & payments

4.1 Platform role, Vermoss is a technology platform that provides WhatsApp Business automation tools (flows, inbox, scheduling, templates, and related features). Vermoss does not provide the underlying messaging network, does not employ your staff, and does not control your customer relationships.

4.2 Vermoss subscription, Access to the Platform may require a recurring subscription fee. Fees are charged for access to Vermoss features only. Unless required by law, subscription fees are non, refundable. Payment is processed within or via the Platform using our designated payment provider.

A Vermoss subscription does not guarantee business opportunities, client engagement, revenue, income, or continued availability of every feature.

4.3 Meta / WhatsApp messaging charges, Meta Platforms, Inc. bills your WhatsApp Business Account (WABA) directly for messaging and template charges. Vermoss does not resell Meta message rates, does not hold a prepaid messaging wallet on your behalf, and is not responsible for Meta pricing, outages, template approval, or number quality.

4.4 Subscription cancellation and your independent business, This section is important. Please read it carefully.

• (a) A Vermoss subscription provides access to Vermoss platform features only, including flows, inbox, automation, analytics, and related tools.
• (b) Cancelling or allowing your Vermoss subscription to lapse terminates your access to those platform features at the end of the applicable billing period (or immediately where stated at cancellation).
• (c) Cancelling your Vermoss subscription does not cancel, suspend, restrict, or otherwise affect: (i) your WhatsApp Business Account; (ii) your WhatsApp phone number or any other telephone number; (iii) your relationship with Meta Platforms, Inc. or its affiliates; (iv) your ability to communicate with customers or conduct business through WhatsApp or any other channel; or (v) Meta's direct billing of your WhatsApp Business Account for messaging charges.
• (d) You acknowledge that Vermoss does not operate, control, or restrict your WhatsApp Business Account or your ability to trade. Any reduction or loss of automation features after cancellation results solely from your decision to end the Vermoss subscription, not from Vermoss restricting your business or your use of WhatsApp.
• (e) To the fullest extent permitted by applicable law, you agree not to hold Vermoss liable for any claim, demand, or cause of action alleging that cancellation of your Vermoss subscription has prevented, restricted, impaired, or stopped you from conducting business, communicating with customers, earning income, or using WhatsApp. You waive any such claim against Vermoss to the extent permitted by law.
• (f) You confirm that you understand the distinction between the Vermoss platform subscription and your independent WhatsApp Business Account before cancelling.

5. User responsibilities

• Provide accurate registration, billing, and business information.
• Use the Platform lawfully and in compliance with Meta WhatsApp Business and Commerce policies.
• You are solely responsible for the quality of your services, licensing, insurance, tax obligations, and compliance with laws applicable to your business.
• You are responsible for obtaining any consents required from your customers before messaging them.

6. Intellectual property & content licence

• You retain ownership of content you upload or send through the Platform.
• You grant Vermoss a non, exclusive, worldwide, royalty, free licence to host, store, reproduce, and display your content solely to operate and improve the Platform.
• You represent that you have the rights to share your content and that it does not infringe third, party rights.

7. Account termination

You may delete your account at any time from account settings, subject to any active subscription or data, retention requirements.

Vermoss may suspend, restrict, or terminate accounts or Platform access at any time, with or without notice, for violation of these Terms, safety, legal, or operational reasons.

Access to the Platform is provided on a revocable basis.

8. Disputes between users

Vermoss is not a party to agreements between you and your customers. Disputes with your customers must be resolved directly between you and them. Vermoss may assist at its discretion but is not obligated to intervene.

9. Limitation of liability

• Vermoss (PTY) Ltd shall not be liable for loss, damage, injury, service failure, or disputes between you and your customers.
• Vermoss shall not be liable for loss of income, revenue, business, or opportunity, including any claim arising from subscription cancellation as described in section 4.4.
• Vermoss shall not be liable for indirect or consequential damages.
• Use of the Platform is at your own risk.

10. Indemnity

You agree to indemnify and hold harmless Vermoss (PTY) Ltd from claims, damages, or losses arising from your use of the Platform, your content, your messaging practices, or your interactions with customers, including claims that cancellation of your Vermoss subscription affected your ability to conduct business, to the extent such claims are brought against Vermoss.

11. Data protection (POPIA)

Vermoss (PTY) Ltd processes personal information in accordance with the Protection of Personal Information Act, 4 of 2013 (POPIA). See our Privacy Policy for full detail.

12. Service availability

Vermoss does not guarantee that the Platform will be uninterrupted, secure, or error, free. Maintenance, third, party outages (including Meta), and force majeure may affect availability.

13. Changes to terms

Vermoss may update these Terms from time to time. Material changes will be communicated via the Platform or email where practicable. Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict, of, law principles.
